Terms of Service — Overview
These terms of service set out the agreement between Wyoming Registered Agent Prime LLC and each client: the registered agent service, the $15-per-year price and price lock, renewals, and the obligations on each side. The sections below state each of these in full.
1. Who these terms are between
These terms are between Wyoming Registered Agent Prime LLC, a Wyoming limited liability company with its registered office at 5830 E 2nd St Ste 6511, Casper, WY 82609, United States (“we”, “us”), and the person or entity that appoints us as registered agent or purchases any other service from us (“you”, “the client”). Where you appoint us on behalf of an entity, you confirm you are authorised to bind that entity.
2. The service
We act as the Wyoming commercial registered agent of record for your entity. In that role we accept service of process, legal notices, and official state correspondence on the entity’s behalf at our Wyoming Registered Office, keep a person available there during normal business hours as the Wyoming Registered Agents Act requires, and forward what we receive to you.
We may also provide additional Wyoming business compliance services — including annual report filing, DBA filing, certified copies, apostille, remote online notarisation, EIN applications, operating agreements, formation, reinstatement and dissolution. Each is a separate service, purchased separately, on the terms published on its own page.
3. Eligibility and your information
To appoint us you must be at least 18 years old and the entity must be formed or registered, or in the process of being formed or registered, in the State of Wyoming. You are responsible for giving us accurate entity details and a current means of contacting you, and for keeping that contact information up to date. We rely on it to forward legal documents, and a document we cannot deliver because your contact details are out of date remains your responsibility.
4. Fees, state fees, and the price lock
Wyoming Registered Agent is $15 per year. That fee is the complete charge for the registered agent service: there is no setup fee, no introductory rate that later increases, and no requirement to purchase any other service.
The price lock. While your entity remains a client without interruption, the annual registered agent fee stays at $15. We do not raise the rate on active clients.
State fees are separate. Where a filing requires a fee set by the Wyoming Secretary of State or another authority, that fee is payable to the authority and is not our revenue. It is stated separately wherever it applies — for example, changing your registered agent carries a $5 Wyoming Secretary of State filing fee in addition to our $15 annual service fee.
Additional services. Every other service is priced independently on its own page, with its components disclosed. None is bundled with, or required for, the registered agent service.
5. Renewal
Registered agent service renews annually. We will notify you ahead of a renewal. If a renewal is not completed, we may cease to act as your registered agent, in which case Wyoming law requires your entity to appoint a successor; the consequences of failing to do so are described on our switching guide and are set by statute, not by us.
6. Service commitments
We publish the following commitments and hold ourselves to them:
- Service of process received during business hours is recorded on receipt and forwarded the same business day, with confirmation.
- Mail is recorded, scanned, and surfaced in the client portal within 1 business day of receipt.
- Compliance and renewal deadlines are notified at least 30 days ahead, with reminders.
- Support enquiries receive a first response within 1 business day.
- A person is available at the Wyoming Registered Office during normal business hours.
Receipt and forwarding times are recorded against each item and are not editable after the fact.
7. Your obligations
You agree to use the service lawfully, to keep your contact and entity information current, to act on documents we forward to you, and not to use our registered office address as a general business, mailing, or shipping address. You are responsible for your entity’s own filings and deadlines; we forward and remind, but we do not assume the entity’s legal obligations.
8. What the service is not
We are a commercial registered agent, not a law firm. Nothing we publish or send is legal advice, and appointing us does not create an attorney-client relationship. We do not represent you in proceedings, we do not advise on how the law applies to your circumstances, and we do not provide tax or accounting advice.
The Wyoming Registered Office is the address at which legal documents are served on your entity. It is not a business address, not a mail forwarding service for general post, and not a place to receive parcels or shipments.
9. Documents, the portal, and security
Documents we receive for your entity are scanned and made available in the client portal. Access is limited to the account that owns the entity: every document request is checked against that ownership before a file is served, files are delivered through private links that expire, and access is recorded in an audit log.
You are responsible for keeping your portal credentials confidential and for the activity of anyone you allow to use your account. Tell us promptly if you believe your account has been accessed without your authorisation.
10. Payments and processing
Your agreement for the service is with Wyoming Registered Agent Prime LLC. Card payments are handled on our behalf by Stripe, and card details are provided directly to Stripe rather than to us. Using the service means you accept that arrangement. We do not store full card numbers.
11. Personal data
How we collect, use, store and disclose personal data is described in our Privacy Policy, which forms part of these terms.
12. Term, suspension, and termination
These terms take effect when you appoint us as your registered agent or purchase a service, and they continue until the agreement ends under this section. Registered agent service runs for an annual term and renews as described in section 5.
Ending the agreement — you. You may stop using the service and end this agreement at any time. Because Wyoming law requires every entity to keep a registered agent and a registered office in the state without interruption (Wyo. Stat. § 17-28-101), ending your registered agent service means you must appoint a successor registered agent with the Wyoming Secretary of State. Our appointment continues until that change is filed, or until our resignation takes effect under the statute, whichever comes first.
Suspension. We may suspend a service, or access to the client portal, if a payment is overdue, if we reasonably believe the account is being used unlawfully or in breach of these terms, or if we are required to by law. Where it is practical we will tell you first and give you a chance to put it right. Suspending a paid add-on service does not by itself end your registered agent appointment.
Ending the agreement — us. We may end this agreement, and resign as your registered agent, on written notice if you materially breach these terms and do not cure the breach within a reasonable period after we ask, if a payment remains unpaid after we have followed up, if you use the service unlawfully, or if we stop offering the service. Resignation as registered agent follows the statutory process in Wyo. Stat. § 17-28-112: we notify the entity and file the resignation with the Wyoming Secretary of State, and it takes effect on the date the statute provides, which leaves you time to appoint a successor.
Effect of ending. When the agreement ends, our appointment as your registered agent ends on the effective date of the change or resignation, any unused portion of a prepaid annual fee is handled under section 13, and access to the client portal may be closed. We keep the records the law requires us to keep for the periods described in our Privacy Policy, and documents we already received on your behalf remain available to you until access is closed.
13. Refunds
Registered agent service. If you cancel within 30 days of first purchasing or renewing registered agent service, and we have not yet been served with or received any document on your entity’s behalf in that period, we will refund the $15 annual fee in full. After 30 days, or once we have acted as your agent of record by receiving a document for you, the fee for the current term is non-refundable, because the service — standing ready at the Wyoming Registered Office throughout the year — has been provided.
State and third-party fees. Fees payable to the Wyoming Secretary of State or any other authority are collected for that authority and are non-refundable once the filing has been submitted, because the state does not return them to us.
Other services. For each à-la-carte service (for example annual report filing, a DBA, certified copies, an apostille, an EIN application, an operating agreement, formation, reinstatement, or dissolution), you may cancel for a full refund of our service fee at any time before we begin work on your order. Once we have begun preparing your order or have submitted a filing, our service fee for that order is non-refundable, and any state or third-party fee already paid is treated as above.
How to request a refund. Email [email protected] from the address on your account. Approved refunds are returned to the original payment method, usually within 5–10 business days depending on your card issuer.
14. Disclaimers
We provide the service with reasonable skill and care, and we hold ourselves to the specific, published service commitments in section 6. Those commitments are given expressly and are not disclaimed by this section.
Beyond those commitments, and to the fullest extent permitted by law, the service is provided “as is” and “as available.” We disclaim all implied warranties, including any implied warranty of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the portal will be uninterrupted or error-free, that every transmission will arrive instantly, or that the service will meet a requirement we have not expressly agreed in writing.
We are a commercial registered agent, not a law firm, and nothing we provide is legal, tax, or accounting advice (section 8). We do not control, and do not guarantee, the outcome, timing, or acceptance of any filing by the Wyoming Secretary of State or any other authority; those decisions rest with the authority. Some jurisdictions do not allow the exclusion of certain warranties, so parts of this section may not apply to you.
15. Limitation of liability
This section limits what we owe you if something goes wrong. Please read it carefully, because the service handles time-critical legal documents.
To the fullest extent permitted by law, neither party is liable to the other for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business, goodwill, or data, even if the party was told such loss was possible.
To the fullest extent permitted by law, our total aggregate liability for all claims arising out of or relating to the service in any twelve-month period is limited to the total fees you paid us for the service during that period. For registered agent service, that amount is the annual fee.
Nothing in these terms excludes or limits any liability that cannot be excluded or limited under applicable law, including liability for fraud or fraudulent misrepresentation, or for death or personal injury caused by negligence. The limitations in this section apply to the fullest extent permitted by law and survive termination of the agreement.
16. Indemnification
You agree to indemnify and hold harmless Wyoming Registered Agent Prime LLC, together with its members, managers, officers, employees, and agents, from and against any third-party claim — and any resulting loss, liability, damage, cost, or reasonable legal expense — that arises out of or relates to: your use of the service; your entity, its business, and its own legal and filing obligations; information you gave us that was inaccurate, incomplete, or out of date; your breach of these terms; or your unlawful use of the service or of the Wyoming Registered Office.
We will tell you promptly of any claim to which this section applies and let you control its defense and settlement, except that you may not settle a claim in a way that imposes any obligation or admission on us without our prior written consent, and we will cooperate reasonably with the defense at your expense. This section survives termination of the agreement.
17. Governing law and disputes
These terms, and any dispute arising out of or relating to them or to the service, are governed by the laws of the State of Wyoming, without regard to its conflict-of-laws rules.
Let us try to resolve it first. If you have a concern, please contact us at [email protected] before starting any formal proceeding. Most issues can be settled quickly and directly, and we ask for the chance to do that.
Where disputes are heard. If a dispute cannot be resolved informally, it must be brought exclusively in the state or federal courts located in the State of Wyoming — for state-court matters, the District Court of Natrona County, where our registered office sits and where the service is performed — and you and we each consent to the personal jurisdiction and venue of those courts.
To the extent the law allows a contractual limitation period, any claim must be brought within one year after it arises, after which it is permanently barred. If any part of this section is held unenforceable, the rest of it remains in effect.
18. Changes to these terms
We may update these terms. When we do, we will change the “last revised” date at the top of this page and, where the change is material, notify active clients. Continuing to use the service after a change takes effect means you accept the updated terms.
