What Makes Wyoming Registered Agent Prime Different
Wyoming Registered Agent Prime LLC is a Wyoming commercial registered agent for legitimate businesses. Our goal
Our goal is to act as registered agent only for legitimate Wyoming businesses, and to put that ahead of the number of clients we serve — even as we serve thousands of clients.
What we can show today is written into our terms: the service must be used lawfully, and we may suspend it or resign as registered agent if it is not. (Terms §7) (Terms §12)
Who we serve
- Wyoming entities only. The entity must be formed or registered, or in the process of being formed or registered, in the State of Wyoming. (Terms §3)
- Adults with authority. You must be at least 18, and if you appoint us for an entity you confirm you are authorised to bind it. (Terms §1) (Terms §3)
- Entity types. LLCs, corporations, nonprofits, foundations, trusts, and partnerships formed or registered in Wyoming.
- Businesses, not consumers. The service is for businesses and is not directed at children. (Privacy §14)
What we do and do not do
We do: accept service of process, legal notices and official state correspondence for your entity at our Wyoming Registered Office, keep a person there during normal business hours, and forward what we receive to you. (Terms §2) Service of process received during business hours is recorded on receipt and forwarded the same business day, with confirmation, and receipt and forwarding times cannot be edited after the fact. (Terms §6)
We do not: give legal, tax or accounting advice, represent you in proceedings, or act as a law firm. (Terms §8) We do not take on your entity’s legal obligations — we forward and remind. (Terms §7) We do not require you to buy any other service with registered agent service. (Terms §4) We do not provide nominee managers, officers, members, directors or shareholders, or arrange nominee services; our Wyoming Nominee Guide explains the law on nominee arrangements.
What we allow and do not allow
- Our registered office is not your business address. You agree not to use it as a general business, mailing or shipping address, and it is not a place to receive parcels. (Terms §7) (Terms §8) The client portal enforces this: if you enter our address (1600 E 19th St Ste P, Cheyenne, WY 82001) as your entity’s principal office or mailing address, the portal refuses to save it and asks for your own address.
- Accurate information. You are responsible for giving us accurate entity details and keeping your contact information current, because we rely on it to forward legal documents. (Terms §3)
- Lawful use. We may suspend a service if we reasonably believe an account is being used unlawfully, and we may resign as registered agent if you use the service unlawfully, following the statutory resignation process. (Terms §12)
What we collect, and why
- Your account — name, email and a password stored only as a hash. (Privacy §2)
- Your entity record — the entity’s identifying, filing and address details. (Privacy §2)
- Key Individuals and the Communications Contact Person — information about the people who run the entity and the person authorised to receive communications from us, with the identity documentation we need to act as registered agent. (Privacy §2) Why: Wyoming law requires a registered agent to keep both on file (quoted below).
- Identity checks — a photo ID uploaded for a Key Individual is checked for readability, document type and a match with that person’s name. Identity shows as verified only after those checks pass, whether run by our systems or, where they cannot run automatically, by WRAP staff reviewing the document. Before approving, WRAP staff also check the person and the entity against the U.S. sanctions list (OFAC). Until then it shows as pending review, and we tell you if a file cannot be read, is not an ID, or does not match the name. IDs are stored in a private directory, never at a public web address. They can be opened only by the entity’s owner or authorised WRAP staff, through signed links that expire after 15 minutes, and each access is logged.
- An audit log of sign-ins and actions, so the handling of a legal document can be established after the fact. (Privacy §7)
- What we do not do with it — we do not sell personal data or use it for advertising profiles, and we do not store full card numbers. (Privacy §4) (Terms §10) Retention periods are set out in our Privacy Policy. (Privacy §10)
What we comply with
Every Wyoming registered agent works under the registered offices and agents statute, W.S. 17-28-101 through 17-28-111. These are the provisions our service is built around:
(i) A registered office that may be the same as any of its places of business but shall be located at a street address in Wyoming which shall be a physical location where the business entity's registered agent, or a natural person who has an agency relationship with the registered agent, can accept service of process as provided in W.S. 17-28-104 and is physically present at that location; Wyoming Statutes § 17-28-101(a)(i)
(e) In addition to the requirements imposed by this section on business entities and registered agents, each business entity and registered agent shall maintain an email address that the secretary of state's office may use to serve documents on the business entity or registered agent as provided in W.S. 17-28-104. How registered agent services get misused
Government agencies have described the ways registered agent and company-formation services can be misused. These are general descriptions from official sources, not statements about any particular provider.
